Description

• Provide a full range of legal expertise in mergers & acquisitions, business combinations, joint ventures, litigation, real estate, and general corporate law, as well as one or more legal areas such as securities, governance, labor & employment law, contract law, intellectual property, and/or technology licensing.
• Assist in negotiating and completing the following: asset and stock acquisitions, divestitures, joint ventures and other business combinations, financings, contracts, and licensing arrangements.
• Review company activities as requested to ensure compliance with laws, rules and regulations and contractual arrangements. Ability to handle selected matters in-house; assist clients in quantifying and developing strategies to mitigate legal risk.
• Provide well reasoned, concise counsel on legal risks associated with proposed or anticipated corporate activities; function as a full member of the management team, balancing business oriented goals with legal risk.
• Conduct research, review, analysis, drafting and approval of various documents, contracts, policies, procedures and obligations to which the company is or may become a party.
• Ensure that company personnel are aware of and in compliance with applicable laws and regulations. Provide education and training where required.
• Participate in and manage litigation matters, regulatory hearings, investigations and trials by hiring, interacting with, managing, and directing internal and external legal counsel regarding on-going and actual or potential litigation, while minimizing monetary exposure or maximizing monetary recovery for the company.
• Ability to learn, master, and teach new issues to clients, outside counsel, and other in-house attorneys; ability to manage complex projects and issues with aggressive timing constraints.
• Ability to assume a project leadership role where required; strong decision-making ability; ability to attain thorough understanding of company structure and protocols.
• Be able to act on behalf of the General Counsel in his absence concerning all matters affecting the Company; ability to communicate with and counsel all levels within the company – up to senior management.

Requirments

-Knowledge of Corporate laws
-Knowledge of tax laws
-Knowledge of mergers and acquisitions
-Knowledge of SEC Regulations
-Law Degree from an accredited law school; bachelors level college degree
-Current license to practice law in Michigan (Member of State Bar of Michigan) or eligible for reciprocity admission
-Minimum 5 years corporate law experience in a law firm or corporate legal department
-Strong communication skills
-High level of professionalism and commitment to ethical behavior
-Organized, self-starter

Preferred:
-Automotive industry experience, particularly with a Tier I supplier
-Litigation and/or litigation management experience
-Governance and compliance experience
